In the course of our sell-side advisory services CLR supports the entrepreneurs and PE-firms in the analyses of the market environment, the opportunities and risks during a sales process and jointly develop the documents for the transaction (investment memorandum, business plans, vendor due diligence documents, financial models). We facilitate our broad network in the industry to approach potential buyers and introduce them to new cases and support the vendor due diligence process in every step. Our team builds the success of the projects on the network from the founders and partners, especially in the innovation, technology and digitalization industries in Europe to identify the best investors and exit partners.

Target Screenings/Sector analyses: Identification of suitable targets
Listings and industry screenings during the first phases of an M&A process are important success factors. CLR applies a structured approach in the identification of suitable targets based on performance indicators, strategic fit and availability. We are able to provide these screenings globally and support our clients with a staged screening approach in any given market or country. Results of our work are shortlisted strategic target companies, enriched of company data to allow an ideal direct approach through the buyer or process advisors.
Transaction phase buy-side: Commercial Due Diligence
CLR performs commercial due diligence support on one or multiple potential acquisition targets: Competitive analysis, growth potential, SWOT-analyses, validation of management‘s business plan, strategic development options and opportunities for the buyer to grow the company value. CLR also assesses the strategic fit of the acquisition to the value proposition of the buying party.
Company valuation/Financial Modelling
Development of reliable data basis for determination of true market value by applying state-of-the-art valuation methods. Creation of transparency on critical value drivers, risk factors (sensitivity analyses) and growth triggers in detailed financial models.
